1. INTRODUCTION

1.1. Welcome to Last Call ("we," "us," or "our"). Last Call is a digital platform (the "App" and "Website") operated by Last Call, enabling users ("Users" or "Consumers") to purchase discounted surplus food, beverages, or other items ("Products") from participating restaurants, cafés, bakeries, grocery stores, and other vendors ("Partners").

1.2. These Terms & Conditions ("Terms") govern the use of the Last Call App and Website and constitute a binding legal agreement between you ("you," "your," "User," or "Partner") and Last Call.

1.3. By accessing or using the App, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the App or Website.

2. PURPOSE OF THE PLATFORM

2.1. Last Call's mission is to reduce food waste by connecting Users with Partners who have unsold surplus food or products available at reduced prices.

2.2. Last Call acts solely as an intermediary between Users and Partners. Last Call does not sell, prepare, or deliver the Products.

2.3. The contractual agreement for the sale of Products is made directly between the User and the Partner.

3. ACCOUNT REGISTRATION

3.1. To use certain features of the App, Users must create an account and provide accurate, current, and complete information.

3.2. Users must be at least 18 years old or the age of majority in their country of residence.

3.3. You are responsible for maintaining the confidentiality of your login information and for all activities that occur under your account.

3.4. Last Call reserves the right to suspend or terminate accounts at its discretion if misuse or breach of these Terms occurs.

4. ORDERING PROCESS

4.1. The App displays surplus Products offered by Partners. The descriptions provided (including estimated contents, types, and value) are indicative and not guaranteed.

4.2. Users may place an order ("Reservation") for available Products through the App.

4.3. A Reservation constitutes an offer from the User to purchase the Product from the Partner. The agreement between User and Partner is formed only when the Partner confirms the Reservation through the App.

4.4. Payment is made via the App at the time of the Reservation.

4.5. Once a Reservation is confirmed, the User must collect the Product at the designated time and location specified by the Partner.

5. PRICE AND PAYMENT

5.1. All prices displayed on the App are inclusive of applicable local taxes unless otherwise stated.

5.2. Payment is processed through Last Call's secure third-party payment provider. By making a payment, you authorize the provider to charge your payment method for the total purchase amount.

5.3. The User is responsible for ensuring payment authorization. If payment fails, the Reservation will not be confirmed.

5.4. Last Call is not responsible for any fees or charges imposed by your payment service provider.

6. COLLECTION OF PRODUCTS

6.1. Users must collect their Products at the Partner's location during the specified collection window.

6.2. Failure to collect within the designated time may result in forfeiture of the order without refund.

6.3. The Partner reserves the right to dispose of uncollected Products after the collection period expires.

7. PRODUCT QUALITY AND LIABILITY

7.1. As the Products are surplus and may vary in content or quality, the Partner is responsible for ensuring that Products are safe and comply with local food safety regulations.

7.2. Last Call makes no representations or warranties regarding the condition, quality, or suitability of any Product.

7.3. Any issues regarding the Product (such as quality, content, or condition) must be resolved directly between the User and the Partner.

7.4. To the maximum extent permitted by law, Last Call disclaims all liability for damages, losses, or claims arising from the Products or transactions between Users and Partners.

8. CANCELLATIONS AND REFUNDS

8.1. Once a Reservation has been confirmed, it cannot be canceled by the User unless expressly permitted under local consumer protection laws.

8.2. Partners may cancel a Reservation in exceptional circumstances (e.g., Product unavailability, operational issues). In such cases, the User will be automatically refunded.

8.3. Refunds, if applicable, will be issued to the original payment method within a reasonable period.

8.4. Any refund request must be submitted via the App or to info@downloadlc.com.

9. PARTNER OBLIGATIONS

9.1. Partners must ensure that all Products offered through Last Call are handled, stored, and prepared in accordance with applicable food safety laws.

9.2. Partners are solely responsible for the accuracy of Product listings, including descriptions, pickup times, and prices.

9.3. Partners must honor confirmed Reservations and provide Products as described.

9.4. Partners agree to indemnify and hold harmless Last Call, its affiliates, and employees from any claim arising from their negligence, misconduct, or violation of applicable laws.

10. USER CONDUCT

10.1. Users agree not to misuse the App or interfere with other Users, Partners, or the platform's functionality.

10.2. Users may not attempt to access data not intended for them, use automated systems to interact with the App, or resell any Product purchased via Last Call.

10.3. Any abusive, fraudulent, or illegal behavior may result in immediate termination of the User's account.

11. INTELLECTUAL PROPERTY

11.1. All content, trademarks, and intellectual property on the App and Website are owned by Last Call or licensed to it.

11.2. You may not copy, reproduce, distribute, or otherwise exploit any part of the App or Website without written permission.

11.3. "Last Call" and associated logos are registered trademarks of Last Call.

12. LIMITATION OF LIABILITY

12.1. To the fullest extent permitted by law, Last Call shall not be liable for any indirect, incidental, or consequential damages arising from:

(a) The use or inability to use the App;
(b) Any transaction between User and Partner;
(c) Errors or interruptions in service;
(d) Unauthorized access to or alteration of data.

12.2. Last Call's total liability for any claim shall not exceed the total amount paid by the User in the transaction giving rise to the claim.

13. DATA PROTECTION

13.1. Last Call processes personal data in accordance with applicable data protection laws and its Privacy Policy.

13.2. By using the App, Users and Partners consent to the processing of their personal data as described in the Privacy Policy.

13.3. The Privacy Policy forms an integral part of these Terms.

14. TERMINATION

14.1. Last Call may suspend or terminate your access to the App at any time for violation of these Terms or misuse of the platform.

14.2. Upon termination, your right to use the App will immediately cease.

14.3. Sections relating to liability, intellectual property, and dispute resolution shall survive termination.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1. These Terms shall be governed by and construed in accordance with the laws of Lebanon.

15.2. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Beirut, Lebanon.

15.3. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. MODIFICATIONS

16.1. Last Call reserves the right to amend these Terms at any time. The updated version will be posted on the App or Website with the "Effective Date" revised accordingly.

16.2. Continued use of the App following the publication of amended Terms constitutes acceptance of those changes.
